Installing on Prestashop v1.4.5.1 and Up I'm getting a Parse error and Class missing notice?

When I upload the stctopresta directory to the Prestashop modules directory I receive this error:

For some reason PrestaShop v1.4.5.1 and up is not reading the config.xml file that is provided with the software. Please upload the config.xml (only the config.xml) file again and the information should be read and the error will disapear.

If you still receive the error above after frequent uploading the config.xml file to the stctopresta directory. Please feel free to contact me with access information so I may investigate.
